Intelligent Tenders — Terms of Use Effective Date: 29 July 2025 Last Updated: 29 July 2025 1. Agreement to Terms By accessing or using the Intelligent Tenders website, applications, or related services (collectively, the "Platform"), you agree to comply with these Terms of Use ("Terms") and all policies referenced herein. If you disagree with any part, do not use the Platform. 2. About Intelligent Tenders Intelligent Tenders Inc. ("ITI," "we," "our," "us") is a Yukon-registered corporation headquartered in Whitehorse, Canada. The Platform offers software-as-a-service tools—including AI-powered drafting assistants—that help users research procurement opportunities and generate tender or funding documents. 3. Eligibility & Accounts You must: be at least the legal age of majority where you reside; and have the legal capacity to enter contracts. You are responsible for safeguarding your login credentials and all activities occurring under your account. 4. Subscriptions, Fees & Billing Plan details, renewal cycles, free trials, refunds, and cancellation methods are outlined on the pricing page or order form you accepted. Prices exclude applicable GST/HST/PST/QST and are charged in CAD unless stated otherwise. Unpaid invoices may result in suspension or termination. 5. Acceptable Use You agree not to: Violate any applicable law, regulation, or procurement-integrity rule. Copy, modify, reverse-engineer, or interfere with the Platform or its security features. Upload or generate content that is unlawful, defamatory, harassing, discriminatory, or proprietary to a third party without authorization. Use the Platform to create misleading or fraudulent tenders, send spam, or exploit vulnerabilities. We may suspend or terminate accounts that breach these Terms or create security or reputational risks. 6. User Content & Licence You retain ownership of all text, files, and data you upload or generate through the Platform ("User Content"). You grant ITI a worldwide, non-exclusive, royalty-free licence to host, process, and display User Content solely to operate and improve the Platform. You warrant you have all rights necessary to grant this licence. 7. AI-Generated Output AI output is produced by probabilistic models and may contain errors, omissions, or bias. You must review, verify, and accept responsibility for any content before using it in submissions or publications. Output is provided "AS IS" without warranty of accuracy or suitability. 8. Intellectual Property All software, code, designs, and trademarks on the Platform are the property of ITI or its licensors. Except for the licence in Section 6, no rights are granted or implied. 9. Confidentiality Both parties must keep non-public information obtained through the Platform confidential and use it only to fulfill obligations under these Terms. 10. Disclaimers The Platform is provided "AS IS" and "AS AVAILABLE." ITI disclaims all warranties—express, implied, or statutory—including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability. 11. Limitation of Liability To the maximum extent permitted by law, ITI's aggregate liability arising from or related to the Platform or these Terms will not exceed the total fees you paid us in the 12 months preceding the claim. ITI will not be liable for indirect, special, incidental, punitive, or consequential damages, lost profits, or business interruption. 12. Indemnification You will defend, indemnify, and hold harmless ITI from all third-party claims, losses, and legal fees arising out of (a) your breach of these Terms, (b) your User Content, or (c) your violation of law or third-party rights. 13. Termination By you: You may terminate via your Account settings; termination is effective at the end of your current billing cycle. By us: We may terminate with 30 days' notice or immediately for material breach. Sections 6–12 and 15 survive termination. 14. Changes to Terms We may modify these Terms by posting an updated version and revising the "Last Updated" date. Material changes become effective 30 days after posting. Continued use after that constitutes acceptance. 15. Governing Law & Dispute Resolution These Terms are governed by the laws of Yukon and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the Supreme Court of Yukon. Before litigation, both parties agree to attempt good-faith negotiation for at least 30 days. 16. Miscellaneous Failure to enforce a provision is not a waiver. If any clause is unenforceable, the remainder remains in effect. You may not assign these Terms without written consent; we may assign them in connection with a merger or asset transfer. These Terms constitute the entire agreement between you and ITI regarding the Platform.
